Version 1.0. Last updated: 23 October 2026
These terms are the contract between Prospectio and the business named at checkout for the Prospectio Pipeline service. Please read them before you pay. They include a three-month minimum term, a no-refund policy and limits on what you can do with prospect data.
1. Who we are and how this contract is made
1.1 “We”, “us” and “Prospectio” means the business trading as Prospectio, registered in Ireland with VAT number IE7638618O. Our legal name and postal address appear on every invoice and are available on request from support@prospectio.ai.
1.2 “You” and “the Client” means the business whose legal name, address and VAT number are entered at checkout.
1.3 The contract is made when the person completing checkout ticks the box agreeing to these terms, enters their full name and completes payment. By doing so, that person confirms that they have read these terms, that they are authorised to bind the Client, and that the Client is entering this contract for business purposes and not as a consumer.
1.4 The contract is made electronically. Under the Electronic Commerce Act 2000 and Regulation (EU) No 910/2014, electronic acceptance is as binding as a signature on paper. We record the name entered, the date and time, the version of these terms and the payment details, and we email you confirmation with a link to this version.
1.5 The contract is made up of these terms, the plan, prices and currency shown at checkout (the “Order”), and the information you submit on the onboarding page. If they conflict, these terms take priority.
2. Definitions
2.1 “Service” means the Prospectio Pipeline outbound service described in clause 3.
2.2 “Start Date” means the date you complete checkout and make your first payment.
2.3 “Minimum Term” means the period from the Start Date to the end of the third monthly billing period.
2.4 “Sender” means a LinkedIn profile connected to the Service. Your plan includes one Sender. An “Additional Sender” is a second LinkedIn profile added for an extra monthly fee.
2.5 “Prospect” means a person or business we identify, research or contact as part of the Service.
2.6 “Prospect Data” means all information about Prospects that we source, buy, enrich, generate or collect, including lists, names, job titles, contact details, profile links, signals, scores, messages, replies, conversation history and engagement records.
2.7 “Booked Meeting” means a meeting a Prospect books into your calendar through the Service.
2.8 “Sending Infrastructure” means the domains, mailboxes, email accounts and related settings we use to send email for the Service.
2.9 “Campaign Scope” means the target market, offer, value proposition, problems, proof points, exclusions and countries you confirm on the onboarding page.
2.10 “Business Day” means a day other than a Saturday, Sunday or public holiday in Ireland.
3. The Service
3.1 During the term we will:
(a) build and refresh lists of Prospects that match the Campaign Scope;
(b) write personalised LinkedIn messages and emails, using AI under prompts and rules we control;
(c) send LinkedIn connection requests, messages and InMails from each Sender, and emails from our Sending Infrastructure;
(d) handle replies on your behalf, including answering questions about your offer and booking interested Prospects into your calendar; and
(e) send you a short report on activity and Booked Meetings.
3.2 Volumes. We use reasonable efforts to send up to 600 LinkedIn connection requests a month per Sender and at least 3,000 emails a month. These are targets, not guarantees. Actual volumes may be lower because of limits set by LinkedIn or email providers, the health or age of an account, the size of the available market within your Campaign Scope, deliverability, or steps we take to protect your accounts. Lower volumes are not a breach of this contract and do not entitle you to a refund or credit.
3.3 Ramp-up. New accounts and new Sending Infrastructure are warmed up gradually. Volumes and meetings are usually low in the first four to six weeks after the onboarding page is complete.
3.4 How we run the Service. We decide how the Service is delivered, including which Prospects to contact, the wording and timing of messages, the sequence of steps, the tools we use and the volumes we send, as long as we stay within the Campaign Scope. We may change these at any time to improve results or protect accounts. These changes are part of the Service and are not Change Requests.
3.5 AI. Messages and replies are written by AI systems working to our prompts and rules. We do not review every message before it is sent. AI can occasionally produce wording that is imperfect or inaccurate. If you see a message you are unhappy with, tell us and we will correct the prompt or rule within two Business Days.
3.6 Tools and data sources. We use third-party software, data providers and service providers to deliver the Service. Which tools and providers we use, where we source Prospect Data, and our prompts, templates and methods are our confidential information. We are not obliged to disclose them to you, except where clause 13 or data protection law requires us to name a sub-processor.
3.7 Subcontractors. We may use subcontractors to perform any part of the Service. We remain responsible for their work under this contract.
4. No guarantee of results
4.1 We do not guarantee any number of replies, Booked Meetings, opportunities, sales or revenue.
4.2 Any figure for meetings or results given in a sales conversation, a proposal, on our website or on the onboarding page is an estimate based on past campaigns. It is not a promise and does not form part of this contract.
4.3 We use reasonable efforts to book meetings with Prospects who fit your Campaign Scope. Some Booked Meetings will not be a perfect fit: a Prospect may be more junior than you hoped, have less budget, or be early in their buying process. A Booked Meeting that turns out to be a poor fit does not entitle you to a refund, credit or extension. Tell us about it in your weekly feedback so we can adjust targeting.
4.4 Turning a Booked Meeting into a sale is your responsibility.
5. What you must do
5.1 Onboarding and information. You must complete the onboarding page and give us complete and accurate information about your business, offer, value proposition, ideal customer, the problems your customers face, proof points and exclusions. We rely on it to target Prospects and write messages, and results depend heavily on its quality. We cannot start sending until the onboarding page is complete. Your Minimum Term and fees run from the Start Date whether or not you have completed it, and any delay in completing it, or gaps in what you provide, will reduce your results.
5.2 LinkedIn. You must:
(a) connect each Sender’s LinkedIn account through the secure link we provide and keep it connected for the whole term;
(b) reconnect within one Business Day if the connection drops, for example after a password change or a security check;
(c) keep each account in good standing and tell us within one Business Day if LinkedIn warns, limits or restricts it;
(d) not use any other automation tool on a connected account during the term; and
(e) not reply to, delete, archive or otherwise act on campaign conversations. We handle those conversations for you. If a Prospect contacts you directly about the campaign, forward the message to us or let us know.
5.3 Calendar. You must connect one Calendly account, on a paid Calendly plan that allows bookings through Calendly’s API, and choose one event type for Booked Meetings. That is the only calendar we book into. You must:
(a) keep it up to date so it shows your real availability;
(b) offer at least 10 hours of bookable time each week, spread over at least three Business Days and at least two weeks ahead; and
(c) keep the connection and access token valid. If it stops working, Booked Meetings cannot be made and the fees still apply.
5.4 Meetings. You must attend every Booked Meeting on time and prepared. If you cannot attend, you must reschedule directly with the Prospect at least 24 hours in advance. If you miss two or more Booked Meetings without rescheduling in a calendar month, we may stop booking new meetings until you confirm you can attend, and the fees continue in the meantime.
5.5 Additional Sender. If you add an Additional Sender, you must have that person’s agreement to their LinkedIn account being used for the Service, and clause 5.2 applies to their account as if it were yours.
5.6 Your content and claims. Everything you give us, including descriptions of your offer, results, case studies, client names, logos and images, must be accurate, lawful and yours to share. You must tell us of any claim we must not make and of any rules that apply to marketing in your sector.
5.7 Business targets only. The Service is for contacting people in their professional capacity at businesses and organisations. You must not ask us to target consumers.
5.8 Authority. You authorise us to send messages, connection requests and emails in your name and in the name of each Sender, to use your business name, brand, logo, website and the information you supply in outreach, to act on each connected LinkedIn account for the purposes of the Service, and to book meetings into your calendar. This authority lasts for the term and ends when the contract ends.
5.9 If you do not do what this clause requires, we are not responsible for any resulting drop in volumes, replies or Booked Meetings, and the fees remain payable.
6. LinkedIn and other platforms
6.1 LinkedIn’s User Agreement restricts the use of automation. You understand that LinkedIn may warn, limit, restrict or close an account used with the Service. We work within volumes and patterns designed to reduce that risk, but we cannot remove it.
6.2 Email providers and blocklists may limit or block Sending Infrastructure. We manage deliverability but cannot control their decisions.
6.3 We are not liable for any action taken by LinkedIn, Calendly, an email provider or any other third-party platform, or for changes they make to their services, rules or prices. If a Sender is restricted, we will continue the Service through the other channels available, and the fees continue.
7. Sending Infrastructure
7.1 To protect your main domain and reach the volumes in clause 3.2, we send email from domains other than your main domain. These may include your business name or a variation of it. We use several mailboxes and may send from more than one domain at a time.
7.2 You grant us a licence to register and use domains that include your business name or brand for the Service during the term.
7.3 We, or our providers, own and control all Sending Infrastructure, including any domain that includes your name. You have no right to it during or after the term, and it is not transferred to you when the contract ends.
7.4 When the contract ends we will stop sending email in your name. We will not use your name or brand from any of the Sending Infrastructure to contact anyone after the contract ends, and we will retire or rename any domain that includes your name.
8. Changes to the Campaign Scope
8.1 The Campaign Scope you confirm on the onboarding page is fixed for the Minimum Term, so the campaign has time to learn and improve.
8.2 If you want to change the Campaign Scope, for example a new target market, a new country, a different offer or a different value proposition, you must ask us in writing (a “Change Request”). During the Minimum Term we may accept or decline a Change Request. If we accept it, and at any time after the Minimum Term, each Change Request is charged at €350 (£300 or $400 for clients billed in sterling or dollars), plus VAT where applicable, added to your next invoice. We aim to put an accepted change live within 10 Business Days.
8.3 Corrections we agree are needed to fix an error in the information you supplied, and adjustments we make under clause 3.4, are not charged.
9. Fees and payment
9.1 You must pay the setup fee and monthly fee shown in the Order, in the currency shown there. We charge in euro, sterling or US dollars depending on where your business is based.
9.2 The setup fee is paid at checkout. The first monthly fee is charged 14 days after the Start Date, and after that in advance on the same day each month, by direct debit or card, until the contract ends. The 14 days before the first monthly fee are part of the paid Service and are not a free trial, even if the checkout page describes them that way.
9.3 An Additional Sender is charged at the monthly fee shown in the Order, starting on your first billing date after its account is connected, and then with your monthly fee. There is no charge for the days before that billing date.
9.4 Minimum Term commitment. You commit to paying the first three monthly fees. You cannot cancel for convenience during the Minimum Term. If the contract ends early for any reason other than our breach or our termination under clause 11.4, the monthly fees for the rest of the Minimum Term become due immediately.
9.5 VAT. All prices exclude VAT. If your business is in Ireland, we add Irish VAT at the standard rate. If your business is VAT-registered in another EU member state and you give us a valid VAT number, the reverse charge applies and you account for the VAT. If your business is outside the EU, we do not charge Irish VAT, and you must give us the evidence we reasonably ask for to show you are a business. You are responsible for any other taxes, duties or bank charges on your payments.
9.6 Discount codes. A discount code applies only as stated when it is issued, must be entered at checkout, cannot be combined with another discount and has no cash value. Codes expire on the date stated.
9.7 Price changes. We may change our prices with at least 30 days’ written notice. A price change does not apply during your Minimum Term.
10. Late or failed payment
10.1 If a payment fails, we will retry it and tell you by email.
10.2 If any amount is unpaid 7 days after its due date, we may suspend the Service, which means all campaigns stop. Fees continue to accrue during a suspension and no time is added to your term.
10.3 If any amount is unpaid 14 days after its due date, we may end the contract by written notice. If we do, all fees owed for the rest of the Minimum Term, or for the current monthly period if the Minimum Term has passed, become due immediately.
10.4 You must not ask your bank to reverse a direct debit or card payment that was properly taken under this contract. A reversal counts as non-payment under this clause, and you must also pay any fees we incur because of it.
10.5 We may charge interest and compensation on late payments under the European Communities (Late Payment in Commercial Transactions) Regulations 2012, and you must pay our reasonable costs of recovering unpaid amounts, including legal and collection costs.
11. Term, renewal and cancellation
11.1 The contract starts when it is made under clause 1.3 and the Service starts on the Start Date. It runs for the Minimum Term and then continues month to month until it is cancelled.
11.2 Your cancellation. You may cancel by giving at least 14 days’ notice in writing by email to support@prospectio.ai. Notice is only valid if it is in writing to that address. A message to a campaign mailbox, on LinkedIn or by phone does not count. Your cancellation takes effect at the end of the billing period in which the 14 days’ notice ends, or at the end of the Minimum Term if that is later.
11.3 When your cancellation takes effect, we stop all campaigns. Nothing further is charged after that date, and no part of a billing period is refunded or credited. You can remove an Additional Sender in the same way.
11.4 Our cancellation. We may end the contract at any time on 14 days’ written notice. If we do and you are not in breach, we will refund any monthly fee you have prepaid for the period after the contract ends, and you will owe nothing further for the Minimum Term.
11.5 We may end the contract immediately by written notice if you:
(a) fail to pay as set out in clause 10;
(b) commit a serious breach of this contract, or a breach you do not fix within 7 days of our notice;
(c) ask us to send content that is unlawful, misleading or harmful to our accounts or reputation; or
(d) become insolvent, enter examinership, receivership or liquidation, or stop trading.
11.6 Either party may end the contract by written notice if the other commits a serious breach and does not fix it within 14 days of being asked to.
11.7 No pauses. The Service cannot be paused at any time, because pausing stops the campaign and the pipeline it has built. If you cancel and later want to restart, a new setup fee and a new Minimum Term apply.
11.8 Clauses 7, 9, 10, 12, 13, 14, 15, 16, 17 and 19, and any other clause intended to survive, continue after the contract ends.
12. No refunds
12.1 All fees, including the setup fee, are non-refundable. We do not give refunds or credits for:
(a) part months, or time remaining in a monthly period or the Minimum Term;
(b) volumes below the targets in clause 3.2;
(c) the number or quality of replies or Booked Meetings;
(d) a suspension under clause 10, or booking stopped under clause 5.4;
(e) any action taken by LinkedIn, Calendly, an email provider or any other platform; or
(f) a delay or drop in results caused by you not doing what clause 5 requires.
12.2 The only exception is a refund under clause 11.4, or where the law does not allow a refund to be refused.
13. Prospect Data and ownership
13.1 We own all Prospect Data, or hold it under licence from our providers. You do not own it and receive no licence to it, except as set out in clause 13.2. This includes Prospects who have replied or shown interest but have not booked a meeting.
13.2 For each Booked Meeting we share the Prospect’s name, company, role, contact details and a summary of the conversation. You may use these details to hold that meeting and to pursue the resulting sales opportunity with that Prospect.
13.3 You must not copy, export, scrape, compile or reuse Prospect Data for any other purpose, including building your own lists, running your own outreach or giving it to anyone else.
13.4 When the contract ends, we keep all Prospect Data, conversation history and Sending Infrastructure. Your access to reports and any shared view ends. Booked Meetings already in your calendar stay with you, and clause 13.2 continues to apply to them.
13.5 No exclusivity. We provide services to other businesses, including businesses that compete with you. We may use Prospect Data, during and after the term, for our own business and for campaigns for other clients, and that may include contacting the same Prospects for a competitor of yours. We will not share your confidential information, your Campaign Scope or the content of your conversations with any other client.
14. Data protection
14.1 Each party must comply with the data protection laws that apply to it, including the GDPR, the Data Protection Act 2018, the European Communities (Electronic Communications Networks and Services) (Privacy and Electronic Communications) Regulations 2011 and, where relevant, the UK GDPR and the UK Privacy and Electronic Communications Regulations.
14.2 Prospect Data. We are the controller of Prospect Data. We decide how it is sourced and processed and we are responsible for the lawful basis for outreach (legitimate interests in business-to-business communication), for giving Prospects the information required by Article 14 of the GDPR, for honouring objections and opt-outs, for keeping a suppression list, and for responding to requests from Prospects about their data.
14.3 Booked Meeting details. Once we share a Prospect’s details with you under clause 13.2, you are an independent controller of those details and responsible for how you use them.
14.4 If a regulator or court finds that we and you are joint controllers of any processing in the Service, this clause sets out our respective responsibilities under Article 26 of the GDPR: we handle transparency, opt-outs and Prospect requests for the campaigns, and you handle them for data held in your own systems. Prospects may contact us at support@prospectio.ai.
14.5 Personal data you give us. Where we process personal data on your behalf, such as the contents of your connected LinkedIn accounts, your calendar, exclusion lists or data you send to us or receive from us through a CRM connection, we act as your processor and the terms in the Schedule apply.
14.6 Opt-outs. If a Prospect asks you not to be contacted, or asks you about their data, you must tell us within two Business Days so we can act on it.
14.7 International transfers. Some of our providers process data outside the European Economic Area. Where they do, we rely on an adequacy decision or the European Commission’s standard contractual clauses.
15. Confidentiality
15.1 Each party must keep the other’s confidential information confidential, use it only for this contract, and protect it with reasonable care. Our confidential information includes our tools, providers, data sources, prompts, templates, sequences, methods, pricing and Prospect Data. Your confidential information includes non-public information about your business, offer and customers.
15.2 This does not apply to information that is public through no fault of the receiving party, that the receiving party already lawfully had, or that must be disclosed by law, in which case the disclosing party will be told where the law allows.
15.3 These obligations continue for three years after the contract ends, and indefinitely for Prospect Data and our prompts and methods.
16. Intellectual property and references
16.1 We own our prompts, templates, sequences, playbooks, processes, reports and the wording of messages we write. You may not reuse them after the contract ends.
16.2 You keep all rights in your name, brand, logo and materials. You grant us a non-exclusive licence to use them for the Service during the term.
16.3 We may name you as a client and show your logo on our website and in sales materials. You can ask us to stop at any time by email, and we will do so within 14 days.
17. Liability
17.1 We will provide the Service with reasonable care and skill. Apart from that, and to the extent the law allows, we give no other warranties or conditions, whether express or implied, including as to results, fitness for a particular purpose or uninterrupted availability.
17.2 We are not liable for any loss of profit, revenue, sales, business, opportunity, goodwill or reputation, any loss or corruption of data, or any indirect or consequential loss.
17.3 Our total liability under or in connection with this contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the fees you paid us in the three months before the event giving rise to the claim.
17.4 Nothing in this contract limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law. Nothing limits your obligation to pay the fees.
17.5 You will indemnify us against any claim, loss, fine or cost arising from the information and materials you supply, any claim made in outreach based on that information, your breach of clauses 5, 13 or 14, your use of Booked Meeting details, or anything said or done at a Booked Meeting.
18. Events outside our control
18.1 We are not in breach of this contract if we are delayed or prevented from performing it by events outside our reasonable control, including outages or changes at LinkedIn, Calendly, email providers, data providers or other suppliers, changes in law, cyber attacks and internet failures. We will tell you and resume as soon as we reasonably can. The fees continue unless the event lasts more than 30 days, in which case either party may end the contract by written notice without further charge after that point.
19. General
19.1 Changes to these terms. We may update these terms by giving you at least 30 days’ notice by email. Updates do not apply during your Minimum Term without your agreement. If you do not accept an update, you may cancel under clause 11.2 before it takes effect.
19.2 Notices. Notices under this contract must be in writing and sent by email: to us at support@prospectio.ai, and to you at the email address entered at checkout or the report email on the onboarding page. An email is received on the Business Day it is sent if sent before 5pm Irish time, and otherwise on the next Business Day.
19.3 Entire agreement. This contract is the entire agreement between us about the Service. You confirm that you have not relied on any statement, forecast or promise that is not set out in it. This does not limit liability for fraudulent misrepresentation.
19.4 Assignment. You may not transfer this contract without our written consent. We may transfer it to a company we control, or to a buyer of our business, by telling you in writing.
19.5 Independent parties. Nothing in this contract creates a partnership, joint venture or employment relationship. The authority in clause 5.8 is limited to the Service.
19.6 Severability. If any part of this contract is found to be invalid or unenforceable, the rest continues in force, and the affected part applies with the minimum change needed to make it valid.
19.7 Waiver. A delay or failure to enforce any right is not a waiver of it.
19.8 Third parties. No one other than you and us has any right to enforce this contract.
19.9 Governing law and courts. This contract is governed by the law of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute, except that we may bring a claim for unpaid fees in the courts of the country where you are based.
Schedule: data processing terms
These terms apply where we process personal data as your processor under clause 14.5.
S1. Subject matter and duration. Processing needed to deliver the Service, for the term and until the data is deleted or returned under S8.
S2. Nature and purpose. Accessing connected LinkedIn accounts and calendars, sending and receiving messages, booking meetings, applying exclusion lists and passing data to your CRM.
S3. Data subjects and data. Your LinkedIn connections and contacts, people on your exclusion lists, your staff, and people in your calendar and CRM records; names, job details, contact details, messages and meeting details.
S4. Instructions. We process the data only on your documented instructions, which are this contract and the settings you choose, unless the law requires otherwise, in which case we will tell you unless the law prevents it.
S5. Confidentiality and security. Anyone we authorise to process the data is bound by confidentiality. We apply appropriate technical and organisational measures, including access controls, encryption in transit and secure handling of access tokens.
S6. Sub-processors. You give general authorisation for us to use sub-processors. We will name our current sub-processors to you on written request, under the confidentiality terms in clause 15, and will tell you of any intended change, giving you the chance to object. If you object on reasonable data protection grounds and we cannot resolve it, you may end the contract for that reason without further charge for the period after that date. Each sub-processor is bound by data protection terms no less protective than these.
S7. Assistance and breaches. We will help you, at reasonable cost, to respond to requests from individuals and to meet your obligations on security, breach notification and impact assessments. We will tell you without undue delay after becoming aware of a personal data breach affecting this data.
S8. End of processing. When the contract ends, we will delete this data within 60 days unless the law requires us to keep it. This does not apply to Prospect Data, which we hold as controller.
S9. Audit. We will make available the information reasonably needed to show compliance with Article 28 of the GDPR, and will allow and contribute to audits by you or an auditor you appoint, on 30 days’ notice, no more than once a year, at your cost and under confidentiality terms.
